Affiliate Terms

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This is a contract between you (Affiliate) and us (Seal Commerce Asia - owner of the app GemPages). It describes how we will work together and other aspects of our business relationship.

The Affiliate Program Agreement applies to your participation in our "Affiliate Program" by registering through Affiliate Partner Page. These terms are so important that we cannot have you participate in our Affiliate Program unless you agree to them.

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If you do not agree to the update or replacement, you can choose to terminate the agreement as described below.

Definitions

"GemPages Affiliate" are all stakeholders including influencers, freelancers, bloggers, experts, etc. who want to promote GemPages in their own traffic.
"Affiliate Lead" means a customer prospect who clicks on the Affiliate Link that we have made available to you via the Affiliate Dashboard.
"Affiliate Link" means the unique tracking link you place on your site or promote through other channels.
"Affiliate Dashboard" means the tool that we make available to you upon your acceptance into the Affiliate Program and for you to use to participate in, track your referrals & commissions.
"Agreement" means this Marketing Affiliate Program Agreement and all materials referred to or linked to here.
"Commission" means an amount described on the Program Policies Page for each Customer Transaction.
"Customer" means the authorized actual user who has upgraded the stores after being an Affiliate Lead.
"Customer Transactions" means those transactions by Affiliate Leads that are eligible for commissions to the ‘Customer Transactions’ section of this Agreement.
"GemPages Content" means all information, data, text, messages, software, sound, music, video, photographs, graphics, images, and tags that we incorporate into our services.
"GemPages Products" means GemPages Shopify Page Builder App.
"We", "us", "our", and "GemPages" means GemPages.
"You" and "Affiliate" means the party, other than GemPages, entering into this Agreement and participating in the Affiliate Program.

Affiliate Acceptance

Applying to GemPages

Once you complete an application to join the Affiliate Partner Program via the application form, we will review your application and let you know. During the review process, we may reach out to you and request additional information (besides those listed), questionnaires, assessments, or certifications to assess your level of fit for the program. If we do not reply to you within sixty (60) days, the application is considered to be rejected.

Being contacted by GemPages

For all GemPages Affiliates, we will state our offer via email or other available means of communication provided by the company. If the prospective Affiliate does not reply within sixty (60) days, we consider the offer to be rejected.

Affiliate Acceptance

Upon providing written acceptance of our offer, the terms and conditions of this Agreement and the Platform Policy shall apply in full force and effect until terminated, per the terms set forth below.
After being approved, you will be added to our dashboard as an Affiliate. You’ll be given a unique Affiliate link that you can use to promote GemPages on your own traffic.
You must update all required information after accessing your Affiliate dashboard.

Rule for Affiliate links

Affiliate links are used for tracking purposes only.

For Agencies or Freelancers who are using GemPages to design websites for your clients, please don’t use the Affiliate link. Instead, please join the Certified Agency Partner Program and register them as leads.

Affiliate Marketing Materials

After being approved to join our Affiliate program, we will have full access to GemPages marketing materials including:

Brand assets and marketing materials.
Extensive product introduction with key-value propositions & winning points.
Support from our dedicated Partnership Manager.
Access to our detailed knowledge bases with tutorials & guidelines.

Commissions and Payout

Commissions

You receive a recurring commission based on the customer’s first purchase and the tier of the product purchased. Commission rates must be based on the number of purchases (paid stores) coming from your Affiliate link.

You cannot refer yourself, and you will not receive a commission on your own accounts. There is also a limit of one commission per referral. If someone clicks the link on your site and orders multiple accounts, then you will receive a commission on the first order only.

The available commission is displayed on your dashboard.

Payout

To receive a payout for your commission, you must have a PayPal account associated with the email address you used to sign up for GemPages. If your PayPal email address is different, you can change it by clicking the ‘Settings’ icon in your dashboard.

We only process payment via PayPal. To receive a payout, place a request on the app dashboard. All requests will be processed ONCE every month between the 28th and 31st, and you will further be notified by PayPal when the commission is transferred. Be noted that the minimum payout is $50.

You are responsible for all reversals, chargebacks, claims, fees, fines, penalties, and other liability incurred when requesting different forms of payments other than PayPal.

Cookie Lifetime

When a potential customer clicks on your referral link, a cookie is stored in their browser to track your referral. The cookie is then stored for a generous 45 days to give your referred customers time to decide if they wish to purchase GemPages or ask us any pre-sale questions they may have.

A referral unfortunately will not be recorded in the following cases:

The customer uses a different browser to purchase than the one they originally used to visit our site (because the cookie does not exist in that browser).
The customer is already a GemPages paid user who visits Affiliate links. The Affiliate link will only be eligible 45 days after they uninstall GemPages.
The customer purchases after the cookie expiration date.
The customer visited different Affiliate links. We only approve the last link.

Refunded Purchases

Valid referrals will be included with each commission payout. If a purchase is refunded or charge-backed, a commission won’t be paid out for that referral.

We reserve the right to reject Affiliate partner commissions for any reason.

Term and Termination

Term

This Agreement is applicable as long as you participate in the Affiliate Partner Program until terminated.

Termination

We reserve the right to revoke Affiliate status before and after being approved for any reason or choose whether we provide an explanation or reasoning to revoke Affiliate status. Your Affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

Unrecognizable profile & Unreliable business (name, website, etc.)
Inappropriate websites or advertisements on sites containing or promoting illegal activities.
Self-referrals, fraudulent transactions, suspected Affiliate fraud.
Inappropriate advertisements (False claims, misleading hyperlinks, etc.).
Spamming (mass email, mass newsgroup posting, etc.).
Failure to disclose the Affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
Violation of intellectual property rights i.e. using our logos without permission.
Offering rebates, coupons, or another form of promised kickbacks from your Affiliate commission as an incentive.
The Affiliate promotes on websites that we do not believe are aligned with our industry or business may be rejected.

Upgrade/Downgrade Plan

You are eligible to receive additional commissions if a customer upgrades to a higher-tiered product in the future. In case a customer downgrades, you will still receive the commission associated with that downgrade. For more information about the Shopify app billing cycle, please refer to this link.

Prohibited Promotional Methods

We welcome all Affiliates with an established or growing audience to take part in promoting our products. To protect those involved in the Affiliate Program, this section highlights some methods that are not permitted when promoting our Affiliate links and products. Violations of these terms will result in automatic termination and a payout final will not be released. If you have ideas that you are not sure about, you can always contact our Partnership Manager for additional support.

Prohibited methods include:

Promoting GemPages or our Affiliate links on coupon sites.
Using paid advertising to promote your Affiliate link.
Misrepresenting and or modifying the branding, products, terms, and image.
Using the app for personal branding.
Offering others incentives such as portions of your commission.
Creating and using email/website domains or that have our company name “GemPages”.
Purchasing ads through services like Google AdWords, social ads, or retargeting ads and using our brand keywords.
Disseminating spam (links, ads, emails, comments… any type of spam). Please respect the posting rules of any 3rd-party websites you use to promote GemPages.
Pretending to be GemPages.
Cloning our site, copying our site, using our copyrighted site assets, and pretending that a site created by you is an official GemPages site is unethical and prohibited (this includes using services that automatically clone websites, or place them into iframes).
Claiming that you are from, endorsed, or operated by GemPages.

Emails

By becoming an Affiliate you agree to receive emails from GemPages. These emails will be sent to Affiliates only and may provide you with relevant news and updates to help you effectively promote our product. We may also send you surveys and questionnaires inquiring about the GemPages experience as well as suggestions to improve the app.

As an Affiliate, you may be privy to time-sensitive information, which can only be used for promotion after the declared time and date. And we won’t spam you, ever.

Inactive Affiliate accounts

An Affiliate account is considered inactive if no visits have been generated after a one-year period and will then be permanently deleted.

GemPages does encourage all of our Affiliates to actively promote GemPages to keep earning referrals. If we can help you come up with ideas on how to promote GemPages, please let us know.

Significant notes

Accepting these terms and conditions provides your nonlegal agreement to abide by them. By registering and being approved as an Affiliate in our Affiliate program you agree that your commissions are subject to approval before they are accepted and subsequently paid.

The Affiliate relationship does not represent a professional or formal agreement, and as an Affiliate, you are not an employee of GemPages. You agree that this is not a legally binding relationship and as a result may not take legal action against GemPages.
